Terms & Conditions
1. Services
Lene Barrett t/a Grafix Reloaded provides a range of digital and design services. The services supplied to the Client will be those selected and confirmed at the time of order or subscription.
These may include:
- Website hosting
- WordPress website maintenance
- WooCommerce maintenance
- Website updates and content changes
- Graphic design
- Design & Digital Retainer services
- Minor website development
- Other services specifically agreed upon in writing
The specific package, services, fees and included hours will be confirmed in the relevant quotation, invoice, package selection or written agreement.
2. Hosting Services
Where hosting is purchased from Lene Barrett t/a Grafix Reloaded:
- Hosting is provided on a reseller hosting platform managed by Lene Barrett t/a Grafix Reloaded.
- The Client's hosting package includes the storage allocation and features specified in the selected hosting package.
- Hosting accounts are subject to the hosting provider's acceptable-use policies and technical limitations.
- The Client may not use the hosting service for illegal, abusive, malicious or resource-intensive activities that negatively affect the server or other users.
- Hosting storage includes website files, databases, email accounts and other files associated with the hosting account.
- Lene Barrett t/a Grafix Reloaded reserves the right to recommend an upgrade if the Client's website or account regularly exceeds the resources available in the selected package.
Lene Barrett t/a Grafix Reloaded will make reasonable efforts to maintain hosting availability but cannot guarantee uninterrupted service. Server maintenance, technical faults, third-party outages and circumstances outside Lene Barrett t/a Grafix Reloaded's reasonable control may occasionally result in downtime.
3. Domain Names
Where Lene Barrett t/a Grafix Reloaded manages or registers a domain on behalf of the Client:
- The Client remains the owner of the domain.
- Domain registration and renewal fees are payable by the Client.
- The Client is responsible for providing accurate registration information.
- Domain renewals must be paid by the due date to prevent suspension or expiry.
- Lene Barrett t/a Grafix Reloaded is not responsible for domains that expire as a result of late or non-payment.
Domain registration and renewal fees are separate from hosting fees unless specifically stated otherwise.
4. WordPress & Website Maintenance
Website maintenance packages cover only the services specified in the selected package.
Depending on the package, maintenance may include:
- WordPress core updates
- Plugin updates
- Theme updates
- Basic website checks
- Minor content updates
- Basic troubleshooting
- WooCommerce updates where included
Maintenance does not automatically include website redesigns, new pages, new functionality, custom development, major layout changes, extensive content changes or other substantial work.
Such work may be quoted separately or, where applicable, completed using available retainer hours.
5. WooCommerce Maintenance
WooCommerce maintenance may include routine updates and basic checks where included in the selected package.
Lene Barrett t/a Grafix Reloaded does not guarantee that third-party WooCommerce plugins, payment gateways, shipping systems or other integrations will remain compatible following updates.
Where an update causes a compatibility issue, Lene Barrett t/a Grafix Reloaded will make reasonable efforts to identify and resolve the problem. Additional development work required to resolve complex compatibility issues may be quoted separately.
6. Design & Digital Retainers
Retainer packages provide the Client with a monthly allocation of Lene Barrett t/a Grafix Reloaded's professional time.
Retainer hours may be used for services included in the selected package, including:
- Graphic design
- Website updates
- Marketing artwork
- Social media graphics
- Newsletter graphics
- WordPress support
- Minor development
Retainer hours are not an unlimited service.
Unused Hours
Unused retainer hours do not automatically carry over to the following month unless otherwise agreed in writing.
Additional Hours
Work exceeding the monthly retainer allowance will be charged at the standard rate of R795 per hour, subject to Client approval where additional work is required.
Priority
Retainer clients receive priority scheduling. Requests are prioritised according to the selected retainer level, the size and complexity of the task and current workload.
Priority scheduling does not constitute an emergency or 24-hour support service.
Revisions
Reasonable revisions are included within the available retainer hours. Extensive revisions, changes to an approved design or a substantially changed brief may use additional retainer time or be quoted separately.
7. Retainer Minimum Term & Cancellation
Unless otherwise agreed in writing, Design & Digital Retainers have a minimum commitment of three months.
After the initial commitment period, either party may terminate the retainer with 1 calendar month's notice.
Any outstanding invoices or additional hours completed before termination remain payable.
8. Fees & Payment
All fees are quoted in South African Rand (ZAR).
Unless otherwise agreed:
- Monthly hosting, maintenance and retainer services are payable in advance.
- Annual hosting fees are payable in advance.
- Project-based work is subject to the payment terms stated on the quotation.
- Additional work outside the agreed package will be charged at the applicable rate or quoted separately.
Lene Barrett t/a Grafix Reloaded reserves the right to suspend services where an account or invoice remains unpaid.
9. Support & Communication
Standard email and telephone support is available:
Monday to Friday, 8:00am–5:00pm, excluding South African public holidays.
Response and completion times may vary depending on the nature, urgency, size and complexity of the request.
Same-day, weekend or emergency work is subject to availability and may incur additional charges.
10. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information required to perform the services.
- Supply website content, images, product information and other materials in a timely manner.
- Ensure that the Client has permission to use all supplied text, images, fonts, logos and other intellectual property.
- Keep login credentials and account information secure.
- Notify Lene Barrett t/a Grafix Reloaded of any known security issues or unauthorised access.
- Review and approve work within a reasonable period.
Delays caused by the Client's failure to provide required information, content, approvals or access may affect project or maintenance timelines.
11. Third-Party Services
Lene Barrett t/a Grafix Reloaded may use third-party software and services including, but not limited to:
- WordPress
- WooCommerce
- Premium plugins
- Payment gateways
- Email services
- Domain registrars
- Hosting providers
- Cloud-based services
- Stock image libraries
Third-party products and services are subject to their own terms, licensing requirements and availability.
Third-party licence fees, subscriptions, transaction fees, stock images, fonts and other external costs are payable by the Client unless specifically included in the agreed quotation or package.
Lene Barrett t/a Grafix Reloaded cannot guarantee the continued availability, compatibility or functionality of third-party services.
12. Backups & Data
Lene Barrett t/a Grafix Reloaded will make reasonable efforts to maintain backups where backup services are included in the relevant hosting or maintenance service.
Backups are intended as a recovery measure and should not be regarded as the Client's sole method of data storage.
Lene Barrett t/a Grafix Reloaded cannot guarantee recovery of every file, database, email or website element following a technical failure or security incident.
Clients are encouraged to maintain their own copies of important business data.
13. Website Security
Lene Barrett t/a Grafix Reloaded will take reasonable measures to maintain the security of websites under its maintenance or hosting services.
However, no website or hosting environment can be guaranteed to be completely secure.
Lene Barrett t/a Grafix Reloaded is not responsible for security breaches resulting from compromised passwords, insecure third-party software, vulnerabilities in unsupported software, Client actions or circumstances outside its reasonable control.
14. Website Performance
Lene Barrett t/a Grafix Reloaded may undertake reasonable performance optimisation as part of website maintenance or development.
Website speed and performance can be affected by hosting, plugins, themes, images, third-party scripts, internet connections and other factors.
Specific PageSpeed Insights, Google Lighthouse or other performance scores cannot be guaranteed unless expressly included as a separately quoted service.
15. Intellectual Property
The Client retains ownership of materials supplied by the Client.
Upon full payment, the Client receives ownership or the agreed usage rights for final, approved design work created specifically for the Client, subject to any third-party licensing restrictions.
Lene Barrett t/a Grafix Reloaded retains ownership of its own pre-existing tools, templates, processes, techniques, code libraries and reusable resources.
Third-party fonts, stock images, plugins, software and other licensed materials remain subject to their respective licence terms.
16. Portfolio & Marketing
Unless otherwise agreed in writing, Lene Barrett t/a Grafix Reloaded may display completed design and website work in its portfolio, website, social media and other promotional materials.
Confidential or commercially sensitive information will not knowingly be disclosed.
The Client may request that a particular project be excluded from promotional use.
17. Content & Legal Compliance
The Client is responsible for the accuracy and legality of all content supplied for publication on their website or marketing materials.
The Client is responsible for ensuring that their website complies with applicable laws and regulations relevant to their business, including privacy, consumer, advertising, copyright and industry-specific requirements.
Lene Barrett t/a Grafix Reloaded does not provide legal advice.
18. Limitation of Liability
Lene Barrett t/a Grafix Reloaded will provide services with reasonable care and skill.
However, Lene Barrett t/a Grafix Reloaded will not be liable for indirect, consequential or loss-of-profit damages arising from website downtime, hosting interruptions, third-party services, software failures, security incidents or circumstances beyond its reasonable control.
Nothing in this Agreement is intended to exclude any liability that cannot lawfully be excluded under applicable South African law.
19. Cancellation & Termination
Recurring hosting, website maintenance and retainer services require one calendar month's written notice of cancellation. The notice period begins on the date written notice is received by Lene Barrett t/a Grafix Reloaded.
Services and applicable fees will remain in effect during the notice period. Any outstanding invoices, additional work or other charges incurred before the termination date remain payable.
Retainers have a minimum initial commitment of three months, unless otherwise agreed in writing. After the initial commitment period, either party may terminate the retainer with one calendar month's written notice.
Lene Barrett t/a Grafix Reloaded may suspend or terminate services immediately where invoices remain unpaid, the Client breaches this Agreement, the hosting service is used for unlawful or abusive purposes, or continued provision of the service presents a security or operational risk.
Upon cancellation of hosting or website services, the Client may request the transfer or handover of their website and relevant files, subject to all outstanding amounts being settled. Any migration, transfer or additional assistance required may be charged separately.
20. Changes to Services & Pricing
Lene Barrett t/a Grafix Reloaded may update its services, packages and pricing from time to time.
Existing recurring clients will receive reasonable notice of any material pricing changes affecting their services.
21. Confidentiality
Both parties agree to keep confidential information received during the course of the business relationship confidential and not disclose it to third parties except where required to provide the agreed services or where required by law.
22. Personal Information & POPIA
Lene Barrett t/a Grafix Reloaded will handle personal information in accordance with applicable South African privacy legislation, including the Protection of Personal Information Act (POPIA), where applicable.
The Client is responsible for ensuring that personal information collected through their website is handled lawfully and that appropriate privacy notices, policies and consent mechanisms are implemented where required.
Lene Barrett t/a Grafix Reloaded does not provide legal advice regarding POPIA compliance.
23. Force Majeure
Neither party will be held responsible for delays or failure to perform obligations caused by circumstances reasonably beyond their control, including natural disasters, power failures, internet outages, cyberattacks, server failures, strikes, government action or failures of third-party service providers.
24. Agreement & Acceptance
By accepting a quotation, subscribing to a service, making payment, ticking an acceptance checkbox or otherwise instructing Lene Barrett t/a Grafix Reloaded to commence work, the Client confirms that they have read, understood and agreed to this Agreement and the applicable service terms.
Where a quotation or package-specific agreement contains terms that differ from this Agreement, the specific terms of that quotation or agreement will apply to the relevant service.
